Terms of Service

An honest note about this document

This document is written in plain English to describe, as accurately as we can, how Charming Invoices actually works today. It has not yet been reviewed by a lawyer, and any fact we have not yet confirmed is clearly marked as a placeholder. If anything here contradicts how the product behaves, tell us and we will fix one or the other.

In short: the free plan is free for good, paid plans add features and remove the “Sent with Charming” line, you own your data and are responsible for your invoices and who you email, Charming never handles money between you and your clients, and AI suggestions always need your review. The full terms follow.

1. The service

Charming Invoices (“Charming”, “we”, “us”) is a web application for creating, sending and tracking invoices, operated by Charming Invoices, a subsidiary of PhraseMine. You can store businesses and clients, build invoices, generate PDFs, email invoices, share them by a private link, see when they were viewed, send payment reminders, schedule recurring invoice drafts and record payments you receive. By creating an account or using the service, you agree to these terms and to our Privacy Policy.

Charming is a document and record-keeping tool. It is not a bank, a payment processor for your invoices, or an accounting, tax or legal service.

2. Free and paid plans

Free. The free plan is not a trial: it does not expire and needs no card. It includes one business with unlimited clients and invoices. Invoices sent on the free plan (their PDF, public page and email) carry a small “Sent with Charming” line.

Paid plans remove that line from invoices sent while you are on them and add features such as more than one business, AI-assisted drafting, recurring invoices, a saved line-item and text library and, on team plans, teammates. The current plans are two one-time “lifetime” plans (Individual and Team) and a Pro subscription. What each plan includes and costs is shown on our pricing page. Whether the footer line appears is decided when an invoice is sent, so invoices you sent on the free plan keep it.

We will not move a feature that is available on the free plan when you sign up behind a paywall for you later.

3. Your account

  • Give us a real email address you control and keep it current; it is how you sign in and how we reach you about your account and billing.
  • Keep your password and emailed sign-in links private. A sign-in link works like a password.
  • You are responsible for activity under your account, including what teammates you invite do in your businesses. Use teammate invitations rather than sharing one login.
  • You must be at least 16 and able to enter into a binding contract where you live. If you use Charming for a company, you confirm you are authorised to accept these terms for it.
  • Tell us promptly at [email protected] if you think someone else has accessed your account.

4. Teammates and businesses

On plans that include teammates, you can invite people to a business as an admin or a member. Teammates can see and work with that business’s clients and invoices according to their role, so only invite people you trust with that data. Access can be revoked, and ownership of a business can be transferred.

A business’s features follow the plan of the person who created it. If their plan changes, what is available in that business changes with it.

5. Acceptable use

You agree not to use Charming to:

  • create or send fraudulent, deceptive or fake invoices, or bill anyone for goods or services that were not agreed or provided;
  • impersonate another person or business, or misrepresent who is billing;
  • send spam, bulk unsolicited email or phishing, or email people you do not have a genuine business relationship with;
  • invoice for illegal goods or services, launder money, evade sanctions or break any law;
  • upload malware or unlawful content, or content you do not have the right to use (for example someone else’s logo);
  • try to break authentication, access another account’s or business’s data, scrape the service, or test our systems for vulnerabilities without permission; or
  • overload the service, get around plan limits or rate limits, or resell the service as your own.

6. Invoice and reminder emails

When you send an invoice or turn on payment reminders, Charming emails your clients on your behalf, under your business name. You are responsible for those emails. In particular:

  • Only send invoices and reminders to people you have a real business relationship with and who actually owe, or have agreed to, what you are billing.
  • You are responsible for having a lawful basis to store your clients’ details and to email them, and for meeting any privacy or email laws that apply to you.
  • Reminder emails do not include an unsubscribe link. If a client asks you to stop emailing them, honour it: mark the invoice paid or void it, update their email address, or turn reminders off for your business.
  • Set a business email address so your clients’ replies reach you; replies are not read by us.

Our ability to deliver email depends on our sending reputation, which every user shares. We may limit or suspend sending for an account immediately if its emails cause spam complaints, high bounce rates or abuse reports.

7. Your content

The businesses, clients, invoices, logos and other content you put into Charming remain yours. You give us a limited permission to host, copy, process, render, email and display that content only as needed to provide the service to you — for example to generate PDFs, send the emails you ask for, show invoices on their public links, and send content to the providers described in our Privacy Policy when you use a feature that needs them. This permission ends when your content is deleted, apart from copies in backups that expire on their normal schedule.

You confirm you have the right to upload what you upload. We do not use your content to train AI models and we do not use it in our marketing without your permission.

8. Invoice accuracy, taxes and legal compliance

You are responsible for your invoices. That includes amounts, rates, quantities, discounts, tax rates, dates, currency, payment details, invoice numbering and anything else they say. Charming does arithmetic on the numbers you enter; it does not know what you agreed with your client or check that a tax rate is correct. Please check every invoice before you send it.

Charming is not an accountant, tax adviser or lawyer, and nothing in the app, its templates, default wording, help text, blog or marketing is financial, tax, accounting or legal advice. Invoice requirements, numbering rules, tax registration, VAT/GST/sales tax and record-keeping obligations differ by country and situation, and meeting them is your responsibility. If in doubt, ask a qualified professional. Keep your own copies of records you are required to keep.

9. Payments between you and your clients

Charming does not process, receive or hold payments between you and your clients. Your clients pay you directly, using the bank details or payment link you put on your invoices. Payment tracking in Charming is manual: an invoice is marked paid only when you (or a teammate) record a payment. We are not responsible for whether, when or how your clients pay you, or for payment links or services you choose to use.

10. Paid plans, billing and refunds

Payments for our plans are processed by Stripe. Prices are shown in US dollars at checkout; taxes may be added where they apply. We never receive or store your card number.

Lifetime plans

Individual and Team lifetime plans are a one-time payment. They do not renew and there is nothing to cancel. “Lifetime” means the lifetime of the Charming service, not of you or your business: you keep the features of your plan, including improvements we make to them, without further payment for as long as we operate the service. It does not automatically include separate new products or paid add-ons we may offer later. If we ever shut the service down, we will give reasonable advance notice and a way to export your data.

Pro subscription

  • Pro is billed monthly or yearly at the price shown at checkout and renews automatically until you cancel.
  • You can cancel at any time from the billing portal linked in your settings. Cancellation takes effect at the end of the period you have paid for; you keep Pro until then and are not charged again.
  • If a renewal payment fails, Stripe retries it and you keep access while it does. If the retries fail, the subscription ends.
  • When Pro ends, your account returns to any lifetime plan you have bought, otherwise to Free.
  • We may change Pro’s price. A change applies from your next renewal, and we will email you before it does so you can cancel first. Price changes never affect a lifetime plan you have already bought.

No refunds

We do not give refunds on any purchase. Except where required by applicable law:

  • Lifetime plans are final sale. We do not refund Individual or Team lifetime purchases, in whole or in part, including if you stop using the service or change your mind. If you are unsure, use the free plan for as long as you like first — or don’t buy at all.
  • Pro subscription payments are not refunded, in whole or in part, including for unused time in a billing period. You can cancel at any time; cancellation takes effect at the end of your current billing period, you keep Pro until then, and no further charges follow.

Downgrades

Moving to a lower plan locks features; it does not delete your invoices, clients or history.

11. AI features

AI-assisted invoice drafting and the AI look in the brand importer use third-party AI models. Their output can be wrong: a model can misread a description, invent or miss a line item, get a number wrong, or suggest colours and designs that do not suit you. Treat everything they produce as a suggestion. You must review it before you save or send an invoice; sending an invoice means you accept its contents as your own.

Using these features sends some of your data to an AI provider, as described in the Privacy Policy. AI features have usage limits and may be paused or unavailable at times.

12. Availability and changes to the service

We work to keep Charming running, but we do not promise it will always be available or error-free, and we offer no uptime guarantee. Maintenance, outages and bugs happen.

Email delivery is best effort. Mailbox providers can delay, filter or reject messages, so we cannot promise an invoice or reminder reached an inbox. For anything time-critical, confirm with your client.

We may add, change or remove features. We will not remove a substantial paid feature you rely on without notice and, where it materially reduces what you paid for, a fair resolution.

13. Suspension and termination

You can stop using Charming at any time and ask us to delete your account, as described in the Privacy Policy.

We may suspend or end your access if you break these terms (especially the acceptable-use and email sections), if we are required to by law, or to protect the service or other people. Unless the problem is serious or ongoing (such as fraud, spam, abuse or attacks on the service), we will tell you first and give you a chance to fix it. If we end your account for a reason other than your breach of these terms, we will give you a reasonable chance to export your data.

14. Disclaimer of warranties

To the extent the law allows, the service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that emails will be delivered, or that calculations, AI output or templates are correct or suitable for your legal or tax needs.

15. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, data or goodwill, including losses from an invoice that was wrong, not delivered, or paid late or not at all.

Our total liability for all claims relating to the service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) US$50.

Nothing in these terms limits liability that cannot lawfully be limited, such as for fraud, or for death or personal injury caused by negligence, or your rights under consumer protection laws that cannot be waived.

16. Governing law

These terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-laws rules. Disputes will be handled by the state and federal courts located in New Castle County, Delaware, and you and we agree to their jurisdiction. This does not take away any mandatory consumer protection that the law of the country you live in gives you, including any right to bring proceedings there.

17. Changes to these terms

We may update these terms. The “Last updated” date at the top shows the current version. For changes that materially affect your rights or what you pay, we will email account holders before the change takes effect. If you keep using the service after that, the updated terms apply; if you do not agree, you can stop using the service and, for Pro, cancel before your next renewal.
